The effective date of this Terms of Use Agreement (“Agreement”) is May 22, 2024. This version of the Agreement replaces and supersedes any prior terms of use applicable to the Guardian website located at www.guardianhealthstaff.com (the “Site”). This Site is owned by Guardian Healthstaff, LLC. (“Guardian;” “we”, “us” and “our”, as applicable). Guardian provides this site and related services to you (the “user”, “you”, and “your”, as applicable), the user of this Site, only for your personal use and subject to your acceptance of and compliance with this Agreement.

By accessing and using the Guardian site, you agree on your behalf and on behalf of any entity or person on whose behalf you are accessing the Guardian site (collectively, “You”) to abide by the Terms. Guardian permits You to use and access the Guardian site for lawful purposes only and only in a manner consistent with the Terms. Your agreement to the Terms is a condition of being granted access to and use of the Guardian Site. If You do not agree with the Terms, You may not access the Guardian Site and must exit the Guardian Site immediately. The Terms apply to all visits and use of the Guardian Site, as well as to the content, information, recommendations, or services provided or transmitted on or through the Guardian Site. By using and accessing the Guardian Site, You represent that You are at least 18 years of age, have the authority to enter these Terms on Your own behalf and on behalf of the organization or entity on whose behalf You are using or accessing the Guardian Site, and that all information provided by You, including, but not limited to Your identity, contact information, experience, qualifications, available positions, and facility details, is accurate and current. You shall be responsible for any violation of the Terms by You, Your agents, or Your employees.

Changes to this Agreement

We reserve the right, in our sole discretion, to revise this Agreement at any time. Any changes to these terms will be included in a revised version of this Agreement accessible through the Site. Your continued use of the Site and any related services following posting of any changes to this Agreement constitutes your unconditional acceptance and agreement to be bound by the changed terms. You must cease using the Site if you do not agree to be bound by the revised terms and conditions.

By visiting or using this Site and its related services, contacting us through this Site or making submissions to the Site, you consent to our collection and use of personal information as discussed in our Privacy Policy, which is hereby incorporated into this Agreement. SMS Alerts

When You opt-in to Guardian SMS messaging, Guardian will send an SMS message to confirm your signup. You can cancel the SMS service at any time. Just text "STOP" to the number that You received the message from. After You send the SMS message "STOP" to the number, Guardian will send You an SMS message to confirm that that the number has been unsubscribed. After this, You will no longer receive SMS messages from Guardian. If You want to join again, just sign up as you did the first time and Guardian will start sending SMS messages to you again.

We are able to deliver messages to the majority of US mobile phone carriers. The mobile carriers are not liable for delayed or undeliverable messages. Message and data rates may apply for any messages sent to You from Guardian and to Guardian from You. Message frequency varies. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

No Guarantee

Guardian does not guarantee that you will receive any employment or job offers through the Guardian Site and is neither your employer nor your agent based solely on your usage of the Guardian Site.

No Warranties and Limitation of Liability

Your use of the Website is at your sole risk. Guardian strives to ensure the accuracy of the information presented on the Website, however due to various circumstances, including, but not limited to, delays caused by internet service providers, upgrades and/or changes to Guardian's systems there may be variances between the information available on the Website and other data. THE WEBSITE AND THE CONTENT PROVIDED THEREON IS PROVIDED “AS IS”, AND NEITHER GUARDIAN NOR ANY OF ITS BUSINESS UNITS, SUPPLIERS, CONTENT PROVIDERS, LICENSORS, EMPLOYEES, AGENTS, OR THE LIKE MAKES ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING THE USABILITY, CONDITION OR OPERATION THEREOF. No oral advice or written information given to you by Guardian or any of its business units, content providers, agents, or the like shall create any warranty. Neither Guardian nor any of its content providers, agents, or the like warrants that access to, or use of, the Website will be uninterrupted, virus free, or error-free, or that the Website (including, without limitation, any content on the Website) will meet any particular criteria of performance or quality. GUARDIAN, ON BEHALF OF ITSELF AND ALL OF ITS, BUSINESS UNITS, CONTENT PROVIDERS, AGENTS AND THE LIKE, HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND/OR REPRESENTATIONS, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING, WITHOUT LIMITATION, ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, REASONABLE CARE, COMPATIBILITY, SECURITY, RELIABILITY, ACCURACY, AND/OR FITNESS FOR A PARTICULAR PURPOSE (WHETHER OR NOT GUARDIAN KNOWS, HAS REASON TO KNOW, HAS BEEN ADVISED, OR IS OTHERWISE IN FACT AWARE OF ANY SUCH PURPOSE), IN EACH INSTANCE IN RESPECT OF THE WEBSITE. Limitation of Liability

Guardian and all of its business units, content providers in each instance will not be liable for (a) any direct, indirect, incidental, consequential and/or special damages arising out of your use of, or inability to use, the Website, and you hereby waive any claims with respect thereto, whether based on contractual, tort or other grounds, even if Guardian has been advised of the possibility of such damages, and/or (b) damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of any file, in each instance whether for breach of contract, tortious behavior, negligence, or under any other cause of action. For further clarity, in all events, Guardian and all of its business units, content providers, agents and the like shall not be liable for the defamatory, offensive, or illegal conduct of other users of the Internet. Some jurisdictions do not allow implied warranties to be excluded or modified or liability to be limited, so not all of the above limitations may apply to you. The provisions of the sections above represent a reasonable allocation of the risks under this Agreement. Guardian’s willingness to allow you to use the Website reflects this allocation of risk and the limitations of liability specified herein.

Indemnification

You agree to indemnify Guardian and all of its business units, content providers, agents and the like, in each instance from and against any and all claims, suits, liabilities, expenses (including, without limitation, attorneys’ fees), and/or damages arising out of claims based upon your use of the Website including, without limitation, any claim of libel, defamation, violation of legal rights of others (including rights of privacy or publicity), loss of service by other subscribers and/or infringement of intellectual property or other rights.

Prohibited Uses; Your Transmissions

You may not use the Guardian Site to send, upload, share, email, post, publish, edit, modify, or otherwise transmit material or information, or use information obtained through the Guardian Site, in any manner that: (i) violates any applicable law or regulations; (ii) is false or misleading; (iii) is defamatory, offensive, obscene, harassing, or discriminatory, including on any basis protected by applicable federal, state or local law; (iv) violates or infringes on the intellectual property or privacy rights of any other person, including but not limited to rights arising from copyrights, trademarks, patents, or a person’s likeness; (v) constitutes unsolicited marketing efforts, including “junk email,” “spam,” or chain letters; (vi) interferes with or disrupts the performance of the Guardian Site ; or (vii) attempts to circumvent or misuse the user authentication or security measures of the Guardian Site.

By sending, uploading, sharing, emailing, posting, publishing, editing, modifying, or otherwise transmitting content to the Guardian Site or submitting any content to or through the Guardian SIte or to Guardian relating to the Guardian Site (including, documentation, feedback), you automatically grant (or warrant that the owner of such rights has expressly granted), Guardian a worldwide, perpetual, royalty-free, irrevocable, nonexclusive right and license to use, reproduce, modify, adapt, publish, transmit and distribute such content in any form, medium, or technology now known or later developed. In addition, You warrant that all so-called moral rights in the content have been waived. Guardian assumes no responsibility for the deletion of or failure to store any posting, transmission, documents, or information stored or submitted on the Guardian Site. Notwithstanding the foregoing, this section is not intended to and does not supersede any applicable laws or separate written agreements between You and Guardian that are signed by the CEO or COO of Guardian, to the extent such laws or agreements restrict or govern Guardian’s use of confidential information provided by You to Guardian as part of a business transaction.

Guardian is not responsible for screening, policing, editing, or monitoring Your or another Registered User’s transmissions, submissions, and postings. Accordingly, Guardian encourages its users to use reasonable discretion and caution in submitting or reviewing any transmission or posting. Moreover, Guardian does not make any representation with respect to, nor does it endorse the accuracy, completeness, timeliness, or reliability of any advice, opinion, statement, or other material displayed, uploaded, or distributed by You or any other user. Nevertheless, Guardian reserves the right to delete or take other action with respect to transmissions or postings (or parts thereof) that Guardian believes in good faith violate the Terms or are potentially, unlawful, or harmful to Guardian, its products, services, or goodwill.
